Abstract

The use of natural gas in Indonesia was increased every year, thus requiring a large level of production. To overcome this phenomenon, the government issued Government Regulation Number 6/2018 as a form of efficiency in the Indonesian gas company that managed by PT Pertamina's subsidiaries namely PT Pertagas and PT PGN Tbk which were engaged in the same business line. In its development, problems arose related to the ownership of the golden share which owned by the government. Based on Government Regulation Number 6/2018, Article 3, even though the golden share was only 1 per cent it has a bigger control than public shareholders at PT PGN Tbk. This thesis discussed the issuance of the Government Regulation and PT Pertagas acquisition by PT PGN Tbk. This legal research used the normative method by reviewed company law regulations, legal opinions, literature studies, and conducted research and interviews with a representative from PT Pertagas. The results of this thesis were the issuance of the Government Regulation made the government has greater control than PT PGN Tbk's public shareholders, and PT Pertagas acquisition by PT PGN Tbk used the CSPA procedure in order to realize national gas control, increased effectiveness and innovation in gas companies in Indonesia
