Abstract

A child in the womb of a mother from a legal marriage bond, can be given a wills that in the future he will become a shareholder of a limited liability company owned by his parents. Problems will arise when the child in the womb is born alive but when become legal age has mental disorders or is declared incapable of performing legal actions according to law. This research is related to the extent to which the person's legal position as a shareholder can carry out his role in the company if has a mental illness, because he must be represented by his legally appointed representative. The aim of this study was to determine the legal position for company shareholders with mental disorders. The author uses the normative legal research method that focuses on statutory regulations, the conclusions technique in this study using the deductive thinking method. The results showed that the legal position for shareholders of companies with mental disorders is that they still have rights as shareholders. A person with mental disorders can still obtain their rights as a shareholder in a company, but is represented by his legally appointed representative.
