Abstract

Limited Company is an Indonesian legal entity that many business activities and have the main goal fora making of profit. The Limited Company'~ implementation ofbusiness activity much to attention the principles of Indonesian business law Good Corporate governances (GCG). In• the Limited .Company's implementation of business activity that a making of profit also do variety of actions, one of which is corporate restructuring through acquisitions. The meaning of corporate restructuring is to create competition and competitiveness in this effort to fulfill necessary of the market in Indonesian. Minority shareholders in the Limited Company need to get Legal Protection, so that its concerns in the company to get 'a good safeguard. Therefore, minority shareholders also need to get legal protection by the Company when take on of the corporate restructuring through acquisitions. The type of this research was a normative legal research, focused on the positive legal norms to form a regulations about Limited Company take on of the corporate restructuring through acquisitions. This research needed secondary data as supporting primary data. The primary legal materials in the form of a legislation, secondary legal materials in the form of a legal opinion that can be obtained from books, the internet, newspapers, magazines, tabloi'ds, and the other research, and tertiary legal materials in the form of a journals relating to corporate restructuring through acquisitions, so as 9an additional information about the primary legal materials and secondary legal materials. The method of data collection was conducte9 through interviews with informants, namely Moses F Da Silva, SH, CN Advocates and Legal Consultants of Capital Markets in Law Office DA SILVA, SUBANDI, SUHARDIADI in DKI Jakarta. The data that obtained was then analyzed descriptively and qualitatively. The data was then processed using a logical and systematic thinking and included the legal materials law, especially in the implementation of business activities of a company perform an acquisition. From these results of the research, it can be drawn conclusion the legal protection of minority shareholders in the corporate restructuring through acquisitions.
