Abstract

Good Corporate Governance is a topic that is often to be discussed concerning to managing an institution, either by state institution or private institution, either those who involve in social affairs or in business because GCG is a mandatory rule that is compulsory to be conducted by management to prevent the responsibility due the loss suffered by the institution. In a limited corporation director is compulsory to conduct in good faith principles in managing the company especially in calling a Shareholders General Meeting .The method used in this research is legal normative. This method is called as doctrinal research as well. It is a research that analyse law as it is written in the book and also law as it should decided by the judge through judicial process. Normative legal research is based on secondary data and emphasises theoritical speculative steps and qualitative normative analysis.
