Abstract
This research is based on problems related to legal protection for Neynis Food franchisees due to the unilateral cancellation of agreements by franchisor who still need business legality. This research aims to determine and analyze the validity of franchise agreements made by franchisor who do not yet have business legality, as well as the legal consequences of unilaterally canceling the agreement duet o default. This research was conducted using normative legal research methods by examining the Civil Code, Government Regulation Number 42 of 2007 concerning Franchising, and Minister of Trade Regulation Number 71 of 2019 concerning the Implementation of Franchises. This research shows that the franchise agreement made by Neynis Food as the franchisor with Camila Azila as the franchisee is legally valid, so Article 1266 of the Civil Code applies because the franchisee has defaulted. However, the Neynis Food franchise business still needs to meet the characteristics of a franchise business, has not registered a Franchise Offer Prospectus, and needs a Franchise Registration Certificate as required by the law. Franchisees can report franchisors who don’t comply with regulation to the Minister of Trade, Governor, local Regent or Mayor, or officials who issue business permits and/or operational or commercial permits.
