Abstract
This research aims at identifying and analyzing of importance and difficulty level of equity and contract element in negotiation process on toll road construction project in Indonesia with BOT concept. The instrument of equity and contract element was adopted from Tiong (1997). Data analyzing treated with descriptive and ranking analysis. Data collection carried out by spread of questionnaire to respondent. The study successfully obtained 30 respondents (15 government and 15 private investor). The background of respondent analyzed with descriptive analysis. Ranking of equity and contract element analyzed by using ranking analysis. The output of ranking analysis shows that there are a little of differences perception between government and investor regarding the importance and difficulty level of equity and contract element. Although both of government and investor has positive agreement that importance and difficulty level of equity and contract element are high. Whereas importance and difficulty level of contract element more higher than equity if refer to all respondents.
