Abstract

Directors of subsidiaries often experience a dilemma in carrying out their:duties. They often have business demands from the parent company to fulfill the interests ofthe parent company. In such situations the position of the Board of Directors is very worrying, they must comply with internal and external corporate legal aspects amid the interests to be striven for. Starting from the problem, the author is interested to examine the legal protection for the Board ofDirectors ofthe subsidiary and the legal liability of the Parent Company that has made subsidiaries as a tool to meet the interests of the Parent Company. This study uses normative legal research which is a type of legal research that focuses on the norm ofPositive Law and requires secondary data as the main data. Secondary data consists of primary legal materials and secondary legal materials. This research indicates that the directors of a subsidiary obtain legal protection to be free from personal responsibility due to loss and bankruptcy of the company when it has carried out the fiduciary duty principle in performing its duties. The parent company is responsible for the legal actions of a subsidiary if proven to make subsidiaries as a toolfor the interest ofthe parent company.
