Abstract

In the absence of a franchise business license in the form of a franchise registration certificate which should be registered by the franchisor before making an agreement with the franchisee. The franchisor is considered incompetent according to the legal terms of the Civil Code agreement and the agreement is considered illegal. In Government Regulation number 42 of 2007 concerning Franchising, it has also mentioned the obligation to register a franchise offer prospectus to obtain STPW. Legal consequences obtained by the franchisor for the absence of STPW may be subject to administrative sanctions and fines in the form of written warnings 3 times within a period of 14 days. If the third warning is not registered, a maximum fine of Rp. 100,000,000 (one hundred million rupiah) will be given. Franchisees will receive preventive and repressive legal protection. Preventive protection in the form of writing rights and obligations for the parties to know what must be carried out by the parties. For repressive protection, it can be by adding clauses in the agreement in the form of how to resolve disputes and what institutions will be used.
